NOTICE OF HEARING
(Sections 127 and 127.1)

TAKE NOTICE that the Commissionwill hold a hearing pursuant to sections 127 and 127.1 ofthe Securities Act, R.S.O. 1990, c.S.5, as amended(the "Act") at the offices of the Ontario Securities Commission,20 Queen Street West, 17th Floor Hearing Room onWednesday, August 22, 2001 at 9:00 a.m. or as soon thereafteras the hearing can be held:

TO CONSIDER whether, pursuantto sections 127(1) and 127.1 of the Act, it is in the publicinterest for the Commission:

(a) to make an order pursuant to section 127(1)clause 2 of the Act that trading in securities by James FrederickPincock ("Pincock") cease permanently or for such other periodas specified by the Commission;

(b) to make an order pursuant to section 127(1)clause 7 of the Act that Pincock resign one or more positionswhich Pincock may hold as an officer or director of any issuer;

(c) to make an order pursuant to section 127(1)clause 8 of the Act that Pincock is prohibited from becomingor acting as a director or officer of any issuer permanentlyor for such other period as specified by the Commission;

(d) to make an order pursuant to section 127(1)clause 6 of the Act that Pincock be reprimanded;

(e) to make an order pursuant to section 127.1of the Act that Pincock pay the costs of Staff's investigationand the costs of, or related to, this proceeding, incurredby or on behalf of the Commission;

(f) to make such other order as the Commissionconsiders appropriate.

BY REASON OF the allegationsset out in the Statement of Allegations dated August 16, 2001,and such additional allegations as counsel may advise andthe Commission may permit;

AND TAKE FURTHER NOTICE thatany party to the proceeding may be represented by counselat the hearing;

AND TAKE FURTHER NOTICE thatupon failure of any party to attend at the time and placeaforesaid, the hearing may proceed in the absence of thatparty and such party is not entitled to any further noticeof the proceeding.
