ORDER

(Subsection 83.1(1))

UPON the application of Anaconda GoldCorp. ("Anaconda") for an order pursuant to subsection83.1(1) of the Act deeming Anaconda to be a reporting issuerfor the purposes of Ontario securities law;

AND UPON considering the applicationand the recommendation of the staff of the Ontario SecuritiesCommission (the "Commission");

AND UPON Anaconda representing to theCommission as follows:

1. Anaconda is a corporation continued underthe Business Corporations Act (Ontario).

2. Anaconda's head office is located in Toronto,Ontario. The majority of its directors reside in Ontario andits principal properties are located in Ontario

3. Anaconda has been a reporting issuer underthe Securities Act (British Columbia) (the "BCAct") since August 25, 1995 and under the SecuritiesAct (Alberta) (the "Alberta Act") since November26, 1999.

4. Anaconda's common shares are listed onthe TSX Venture Exchange under the trading symbol "ANX".

5. Anaconda is not in default under the BCAct or the Alberta Act.

6. The continuous disclosure requirementsof the BC Act and the Alberta Act are substantially the sameas the requirements under the Act.

7. The continuous disclosure materials filedby Anaconda under the BC Act and the Alberta Act are availableon the System for Electronic Document Analysis Retrieval (SEDAR).

8. The authorized share capital of Anacondais an unlimited number of common shares of which 11,657,195common shares were issued and outstanding as of April 7, 2003.

9. Neither Anaconda nor any of its officersor directors, nor to the knowledge of Anaconda or its officersand directors, any controlling shareholder, has (i) been thesubject of any penalties or sanctions imposed by a court relatingto Canadian securities legislation or by a Canadian securitiesregulatory authority, (ii) entered into a settlement agreementwith a Canadian securities regulatory authority, or (iii)been subject to any other penalties or sanction imposed bya court or regulatory body that would be likely to be consideredimportant to a reasonable investor making an investment decision.

10. Neither Anaconda nor any of its officersor directors, nor to the knowledge of the Anaconda, its officersand directors, any of its controlling shareholders, is orhas been subject to: (i) any known ongoing or concluded investigationsby: (a) a Canadian securities regulatory authority, or (b)a court or regulatory body, other than a Canadian securitiesregulatory authority, that would be likely to be consideredimportant to a reasonable investor making an investment decision;or (ii) any bankruptcy or insolvency proceedings, or otherproceedings, arrangements or compromises with creditors, orthe appointment of a receiver, receiver-manager or trustee,within the preceding 10 years.

11. None of the officers or directors of Anaconda,nor to the knowledge of Anaconda, its officers and directors,any of its controlling shareholders, is or has been at thetime of such event an officer or director of any other issuerwhich is or has been subject to: (i) any cease trade or similarorders, or orders that denied access to any exemptions underOntario securities law, for a period of more than 30 consecutivedays, within the preceding 10 years; or (ii) any bankruptcyor insolvency proceedings, or other proceedings, arrangementsor compromises with creditors, or the appointment of a receiver,receiver-manager or trustee, within the preceding 10 years.

AND UPON the Commission being satisfiedthat to do so would not be prejudicial to the public interest;

IT IS HEREBY ORDERED pursuant to subsection83.1(1) of the Act that Anaconda is deemed to be a reportingissuer for the purposes of Ontario Securities Law.
