CHAPTER S.5, AS AMENDED (the "Act")
IN THE MATTER OF
BOUNDARY CREEK RESOURCES LTD.
WHEREAS Boundary Creek Resources Ltd. ("BCR") has applied (the "Application")to the Ontario Securities Commission (the "Commission") for an order (the "Order")pursuant to section 144 of the Act varying a ruling (the "Ruling") of the Commission datedAugust 1999, In the Matter of Boundary Creek Resources Ltd., made under subsection74(1) of the Act;
AND UPON considering the Application and the recommendation of staff of theCommission;
AND UPON BCR having represented to the Commission that:
1. The Ruling states that it will cease to be effective unless BCR becomes a reportingissuer in Ontario on or before January 9, 2000 (the "Deadline");
2. BCR has determined that it will not be able to comply with the Deadline; and
3. BCR has undertaken to the Commission to make all reasonable efforts including theexpenditure of all required funds to file a prospectus for the purpose of obtaininga receipt for such prospectus and for the purpose of becoming a reporting issuerunder the Act.
AND UPON the Commission being satisfied that to do so would not be prejudicialto the public interest;
IT IS ORDERED pursuant to section 144 of the Act, that the Ruling be varied byreplacing the reference to "January 9, 2000" in the penultimate paragraph of the Rulingwith "April 9, 2000".
