ORDER
(Section 127)

WHEREAS on June 11, 1998, the Ontario Securities Commission (the"Commission") issued a Temporary Order pursuant to section 127(7) of the OntarioSecurities Act, R.S.O. 1990, c. S.5, as amended (the "Act") suspending the registration ofthe respondent Richard John Smith ("Smith");

AND WHEREAS on June 16, 1998, the Commission issued a Notice of Hearingpursuant to section 127 of the Act;

AND WHEREAS on June 23, 1998, the Commission extended the Temporary Orderissued on June 11, 1998 suspending the registration of the respondent Smith until theconclusion of the hearing;

AND WHEREAS the respondents Smith and Synlan Securities Corporation("Synlan") having been advised of the hearing, did not appear;

AND WHEREAS the Commission considers it to be in the public interest to makethis Order;

IT IS HEREBY ORDERED that:

1. pursuant to paragraph 1 of subsection 127(1) of the Act, that the registrationgranted to each of Smith and Synlan under Ontario securities law be terminated;

2. pursuant to paragraph 2 of subsection 127(1) of the Act, that trading in anysecurities by each of Smith and Synlan cease permanently; and

3. pursuant to paragraph 3 of subsection 127(1) of the Act, any exemptions containedin Ontario securities law do not apply to each of Smith and Synlan permanently.
