NOTICE OF HEARING

TAKE NOTICE THAT the Ontario Securities Commission (the "Commission") will holda hearing pursuant to section 127 of the Securities Act, R.S.O. 1990, c.S.5, as amended (the "Act")at its offices on the 8th floor, 20 Queen Street West, Toronto, Ontario, commencing on the 29th dayof November, 1999 at 10:00 a.m. or so soon thereafter as the hearing can be held:

TO CONSIDER:

(a) whether in the opinion of the Commission it is in the public interest to make an order pursuantto section 127(1) clause 2 of the Act, that trading in any securities of YBM Magnex International Inc.cease permanently;

(b) whether in the opinion of the Commission it is in the public interest to make an order pursuantto s.127(1) clause 1 respecting the registration of each of R. Owen Mitchell, National Bank FinancialCorp. and Griffiths McBurney & Partners;

(c) whether in the opinion of the Commission it is in the public interest to make an order pursuantto section 127(1) clauses 2 and 3 of the Act respecting each of Harry W. Antes, Jacob G. Bogatin,Kenneth E. Davies, Igor Fisherman, Daniel E. Gatti, Frank S. Greenwald, R. Owen Mitchell, DavidR. Peterson and Michael D. Schmidt;

(d) whether in the opinion of the Commission it is in the public interest to make an order pursuantto section 127(1) clause 4 of the Act respecting each of National Bank Financial Corp. and GriffithsMcBurney & Partners;

(e) whether in the opinion of the Commission it is in the public interest to make an order pursuantto section 127(1) clause 6 of the Act respecting each of Harry W. Antes, Jacob G. Bogatin, KennethE. Davies, Igor Fisherman, Daniel E. Gatti, Frank S. Greenwald, R. Owen Mitchell, David R.Peterson, Michael D. Schmidt, Lawrence D. Wilder, National Bank Financial Corp. and GriffithsMcBurney & Partners; and

(f) such further orders as the Commission may deem appropriate.

BY REASON of the allegations as set out in the attached Statement of Allegations made byStaff of the Commission dated November 1, 1999;

AND TAKE FURTHER NOTICE THAT in the event that the Commission determines thatany of Harry W. Antes, Jacob G. Bogatin, Kenneth E. Davies, Igor Fisherman, Daniel E. Gatti, FrankS. Greenwald, R. Owen Mitchell, David R. Peterson, Michael D. Schmidt, Lawrence D. Wilder,National Bank Financial Corp. and Griffiths McBurney & Partners has not complied with Ontariosecurities law, Staff will request the Commission to consider whether, in the opinion of theCommission, application should be made to the Superior Court of Justice for a declaration, pursuantto section 128(1) of the Act, that such persons or companies have not complied with Ontariosecurities law, and that, if such declaration be made, the Superior Court of Justice make such orders,pursuant to section 128(3) of the Act, as it considers appropriate;

AND TAKE FURTHER NOTICE THAT any party to the proceedings may be representedby counsel at the hearing;

AND TAKE FURTHER NOTICE THAT, upon failure of any party to attend at the timeand place aforesaid, the hearing may proceed in the absence of that party and such party is not entitledto any further notice of the proceeding.
