ORDER
(Section 127)

WHEREAS on April 20, 2000, the Director of the Ontario Securities Commission("the Commission") made a temporary order pursuant to subsection 127(5) of theSecurities Act, R.S.O. 1990, c. S.5, as amended (the "Act"), that none of the Respondentsshall trade in any securities of CINAR Corporation ("CINAR"), subject to the terms set outin the order, for a period of 15 days from the date of the order (the "Temporary CeaseTrading Order");

AND WHEREAS on April 27, 2000 the Commission issued a Notice of Hearing pursuant to subsection 127(9) of the Act;

AND WHEREAS the Hearing with respect to the Respondents, 2950995 CanadaInc., 153114 Canada Inc., Micheline Charest, and Ronald A. Weinberg, was adjournedto a date to be fixed in June, 2000.

AND WHEREAS the Commission is of the opinion that is in the public interest tomake this Order;

IT IS ORDERED pursuant to paragraph 2 of subsection 127(1) of the Act that alltrading, whether direct or indirect, by the Respondents, 2950995 Canada Inc., 153114Canada Inc., Micheline Charest, and Ronald A. Weinberg, in the securities of CINAR shallcease until the earlier of the following events:

(a) a hearing in this matter, with respect to these Respondents, is completed; or

(b) two full business days following the receipt by the Commission of all filings CINARis required to make pursuant to Ontario securities law;
