Other Requirements


Investment funds may also be subject to other continuous disclosure requirements set out in National Instrument 81-106 Investment Fund Continuous Disclosure, including:

  • filing an annual information form (if the fund doesn’t have a current prospectus)
  • reporting their proxy voting record on an annual basis
  • sending information circulars in advance of unitholder meetings
Additional requirements are found in National Instrument 81-107 Independent Review Committee for Investment Funds regarding disclosure that must be made by both investment funds and independent review committees. Mutual funds that are subject to National Instrument 81-102 Investment Funds must also file compliance reports in accordance with Part 12 of that rule.

Insider Reporting

Mutual fund insiders are exempt from insider reporting requirements but remain subject to restrictions on insider trading and self-dealing. Insiders of other types of investment funds are required to file insider reports.
