Office of the Secretary to the Commission
The Office of the Secretary is created by statute, and the Secretary is appointed by the Commission. The Secretary reports directly to the Chair and the Board.
The Office of the Secretary supports the Members in the exercise of their responsibilities in the fulfillment of their statutory mandate as regulators and as a Board of Directors. It provides counsel to the Members on adjudicative matters and administrative law, corporate law and corporate governance.
The Office of the Secretary is responsible for the fair, impartial and efficient operation of the Commission’s adjudicative proceedings, reviews and appeals. The Registrar co-ordinates the schedule of tribunal hearings and proceedings. Independent Adjudicative Counsel attend all proceedings and provide legal advice on administrative law and adjudicative and procedural matters. The Secretary and the Registrar also administer the OSC’s Rules of Procedure, which apply to all proceedings before the Commission where it is required by law to hold a hearing. These rules are designed to promote the fair resolution of proceedings in the most expeditious and cost-effective manner.
The Office of the Secretary also provides legal advice to the Board and its committees on corporate governance, ethics, and conflicts. It also maintains the Commission’s corporate records, administers the Commission’s policy agenda, and manages the Commission’s request-for-comments and quorum approval processes.
